These Terms & Conditions ("Terms") govern your access to and use of the websites, applications, products, and services (collectively, the "Services") operated by GoGoSoon Private Limited ("GoGoSoon," "we," "us," or "our"), including gogosoon.com and our product properties such as LetLMS, GenZform, mBooks.ai, SpreadSheetFlow, and our Design & Print services. By using any of the Services you agree to these Terms.

1. Who we are

GoGoSoon Private Limited is an AI-first consulting and product company. We deliver client engagements (AI workflow automation, AI product engineering, AI strategy, web & mobile apps, growth and marketing AI), publish in-house AI products, and provide complementary design and print services. References to "Services" in these Terms apply across all of the above unless we say otherwise.

2. Eligibility & accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. If you create an account, you are responsible for keeping your credentials secure and for everything that happens under your account. Notify us immediately if you suspect unauthorized use.

3. Acceptable use

You agree not to:

• Use the Services for anything unlawful, infringing, harmful, deceptive, or abusive.
• Reverse-engineer, scrape, or attempt to access the Services in ways we don't authorize.
• Upload content that violates third-party rights or applicable law.
• Interfere with, overload, or disrupt the Services or any related infrastructure.
• Use the Services to build a competing product, or to train models on our proprietary outputs without consent.

4. Content and your data

You retain ownership of the content, data, and inputs you submit to the Services ("Your Content"). You grant GoGoSoon a worldwide, non-exclusive licence to host, process, transmit, and display Your Content solely as needed to operate, secure, support, and improve the Services. Where you use AI features, your inputs and the resulting outputs may be processed by us and by sub-processors we engage. See our Privacy Policy for details on how we handle personal data.

5. AI-generated outputs

Several Services use machine-learning models (our own or third-party providers). Outputs may be inaccurate, biased, or out of date and should be reviewed before being relied on for decisions that have legal, financial, medical, or safety consequences. You are responsible for verifying outputs and for ensuring your use of them complies with applicable laws and third-party rights.

6. Fees, billing & cancellation

Paid plans, professional-service engagements, print orders, and add-ons are billed at the rates shown at purchase or set out in a signed proposal or order form. Unless stated otherwise, fees are quoted in INR or USD, are exclusive of applicable taxes, and are charged in advance. Subscriptions renew automatically until cancelled. Refunds are governed by our Refund Policy.

7. Third-party services

The Services may integrate with or link to third-party platforms (e.g., payment processors, model providers, analytics, communication tools, app stores). Those services are governed by their own terms and privacy policies. GoGoSoon doesn't control them and isn't responsible for them; your interactions with them are between you and the third party.

8. Intellectual property

The GoGoSoon platform — including our websites, in-house product code, design, content, trademarks, and the GoGoSoon name and logos — is owned by GoGoSoon or our licensors and is protected by applicable IP laws. Except for the limited rights we expressly grant you in these Terms, you receive no rights to our platform IP.

Client work product belongs to the client. For consulting and engineering engagements, all deliverables we produce specifically for you under a signed proposal or statement of work — including source code, designs, written content, configurations, and documentation — are assigned to you on full payment of the related fees. You own the output. We may retain rights only to (a) our own pre-existing tools, libraries, and frameworks used to build the deliverables (which we license to you for use of the deliverables), and (b) general know-how, skills, and experience gained during the engagement. Where a signed SOW says something different about ownership, the SOW takes precedence.

9. Suspension & discretionary changes

We may change, add to, or discontinue any part of the Services at any time. Where legally permitted we may also suspend or restrict access — for example, to address security, abuse, non-payment, or legal risk. We'll try to give reasonable notice for material changes that affect paying customers.

10. Termination

You can stop using the Services at any time and cancel a subscription from your account settings (or by writing to us). We may terminate or suspend your access if you breach these Terms or if we're required to by law. Provisions that by nature should survive termination — including IP, disclaimers, liability limits, and dispute resolution — will continue to apply.

11. Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, GoGoSoon disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

12. Limitation of liability

To the maximum extent permitted by law, GoGoSoon will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill. Our aggregate liability for any claim arising out of or relating to the Services is limited to the amounts you paid to GoGoSoon for the specific Service giving rise to the claim during the twelve (12) months immediately preceding the event.

13. Indemnity

You agree to defend and indemnify GoGoSoon against third-party claims arising from your use of the Services, your content, or your breach of these Terms.

14. Governing law & disputes

These Terms are governed by the laws of India. Disputes arising out of or relating to the Services or these Terms will be subject to the exclusive jurisdiction of the competent courts in Coimbatore, Tamil Nadu, India, unless a signed agreement between you and GoGoSoon specifies otherwise.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes we'll update the "Last updated" date and, where appropriate, notify you through the Services. Continued use after changes take effect means you accept the updated Terms.
